These Terms of Use, in conjunction with the Privacy Policy ("Agreement"), govern your use of LUMIBRIGHT website (LUMIBRIGHT.CO.UK), data feeds, email newsletters, as well as other services provided to you on, from, or through such website ("Services"), as well as content appearing in the Services ("Content"). This Agreement is a legally binding contract between you and LUMIBRIGHT(hence "LUMIBRIGHT," "we," "us," or "our"). Our Privacy Policy is an essential component of this Agreement. GENERAL CONDITIONS

  • THE ‘Company’ means LUMIBRIGHT LTD, a company registered in the UK with a registered address at Sefton Street, Heywood, OL10 2JF.
  • The 'Buyer' refers to the person, Firm, or Company to whom the seller supplies the Goods. This means the person, firm, or Company who purchases goods from the Company.
  • ‘Contract’ means the Contract between the Buyer and the Company for the sake of purchase of the Goods which the Buyer agrees to buy from the Seller.
  • ‘Goods’ means the Goods which the company has to supply in accordance with these terms.
  • ‘Non-Lighting Goods’ means any non-lighting goods which also include furniture and mirrors that the buyer agrees to buy.
  • ‘Third Party Delivery’ means the procedure whereby the Company delivers the goods on the behalf of the buyer to a third party nominated by the buyer.
  • The headings in these conditions are for convenience only and shall not affect their interpretations.
  • All orders are only accepted if the terms do not replace, supersede, override, or exclude any terms that the buyer has stipulated, included, or referenced. Any changes to terms in an order, in negotiations, or in a course of dealing between the seller and the buyer should only be made with the consent of both parties.

All orders thereafter made by the Buyer shall be deemed subject to these terms.

The Company reserves the right to vary the terms of these conditions. The varied conditions may come into force 30 days after the written notice

SPECIFICATIONS AND DETAILS

  • All descriptions and illustrations contained in catalogs, price lists, submittals, advertisements, or otherwise communicated to the Buyer are intended to merely present a general idea of the goods described therein and nothing contained in any of them shall form part of the contract.
  • Goods may vary in detail from the illustrations and measurements set out in the company’s sales literature.

Product Improvements

  • Continuous improvement is a part of the seller's policy. It is reserved for changes to be made to designs or products at any time without prior notice.
  • The Seller's policy contains continuous improvement. The right to change designs at any time without notice is reserved.

Basis of Contract

  • The company shall sell in accordance with these conditions.
  • The Company’s employees are not authorized to make any representations concerning the goods unless confirmed in writing by the director of the company.
  • Goods may vary in detail from the illustrations and measurements set out in the company’s sales literature.
  • The Company reserves the right to vary the terms of these conditions. The varied conditions may come into force 30 days after the written notice.

Payment Terms

  • The Buyer shall pay the price of the goods prior to delivery with 100%. for the registered account before the end of the month following the date of the Company’s invoice and the Company is entitled to recover the price notwithstanding that delivery may not have taken place and the property in the goods has not passed to the buyer.
  • Payment shall be made in UAE Dirhams as per terms and conditions set out in the Seller's quotation.
  • All invoices will be raised in accordance with the rule of the land and will be applicable there to from time to time.

  • Payment terms are an agreement between a buyer and a seller that outlines the conditions for payment of a product or service. Payment terms are typically outlined in a contract and can include things like payment due dates, payment amounts, payment methods, and late payment penalties.

Samples Policy

  • Notwithstanding that a sample of the Goods may have been exhibited to, and inspected by the Buyer.
  • It is hereby agreed that such sample was so exhibited and inspected solely to enable the Buyer to judge for himself the quality of the bulk and not as to constitute a sale by sample.
  • The Buyer shall take the Goods at his own risk as to their corresponding with the said sample or as to their quality condition or sufficiency for any purpose.
  • The Seller reserves the right to make partial deliveries and to allocate available supplies amongst customers in times of shortage.

Orders

  • All orders must be placed online or over the phone, by E-mail, or in Person before they can be processed.
  • Customers must provide a valid form of payment when placing an order.
  • We reserve the right to refuse service to any customer for any reason.
  • No contract for the sale of goods shall be concluded until either the Seller sends or communicates to the Buyer its acceptance of the order.
  • No modification of these items shall be effective unless made by an express written agreement between both parties.

MOQ Requirements

  • We may require full payment for all orders before shipment.
  • We reserve the right to reject any order that does not meet the minimum order quantity.
  • Orders worth more than AED 500 will be delivered; otherwise, the buyer agrees to pick up the goods from the seller's store.
  • Orders valued at less than AED 2400 will be serviced and the Buyer agrees to collect the materials from the Seller’s stores.

Quality Measure

  • Our Quality Measure policy sets out clear standards and objectives to ensure that our products consistently meet the highest quality requirements.
  • We utilize quality assurance processes and procedures, including regular testing and inspection, to ensure that our products meet our quality standards.
  • Neither party shall be liable to the other for any failure or delay in the performance of any obligation hereunder as a result of strikes. Lockouts, trade disputes, breakdown of plants, accident or other cause whatsoever beyond the reasonable control of the Seller or the Buyer respectively.

Delivery Policy

  • All delivery dates are estimates only, and the time for delivery shall be of the essence of the contract.
  • Delivery times may vary depending on the destination and shipping carrier.
  • The Seller reserves the right to make partial deliveries and to allocate the available supplies amongst customers during the shortage of Goods.
  • Delivery shall be deemed to take place when the Goods are dispatched from the Seller's premises
  • The Seller shall not be liable for any kind of loss to the Buyer arising from any damage to the Goods occurring after the risk has been passed to the Buyer however caused, nor shall any liability of the Buyer to the Seller be diminished or extinguished by reasons of such loss.
  • We are not responsible for any delays caused by carrier issues or any other circumstances beyond our control.
  • We reserve the right to refuse any order due to any issues related to fraud or payment.

Damage or Loss in Transit

  • All prices quoted include delivery to the site or to Buyer's stores in the United Arab Emirates.
  • In the case of Goods to be delivered otherwise, that is at the Company's premises at the time of delivery or if the Buyer wrongfully takes the delivery of the Goods, the time when the Company tenders delivery of the Goods.
  • Following delivery, the goods shall remain the sole and absolute property of the company until debts owed by the Buyer to the Company (whether part-paid, secured or otherwise) are settled. If the Goods are not checked by the Buyer on receipt, they must be signed for 'unexamined or unchecked'

Liability

These terms lay out the Seller's entire liability in respect of the Goods and the Seller's liability, Under these terms shall be in lieu and to the exclusion of all other warranties, conditions, terms, and liabilities expressed or implied statutory or otherwise in respect of the quality or the fitness of any particular purpose of the Goods or otherwise notwithstanding any advice or representation to the Buyer, all liability in respect of which howsoever arising is expressly excluded except any implied by law which by law cannot be excluded. Save as provided in these terms and except as aforesaid the Seller shall not be under any liability, whether in contract or otherwise in any respect of defects in the Goods or failure to correspond to the specification or sample or for any injury, damage, or loss resulting from such defects or failure or from any work done in connection therewith. The Seller shall be under no liability to any purchaser of the Goods from the Buyer. In any event, the Seller's liability (if any) whether in contract or otherwise in respect of any defects in the Goods or any break if this agreement or any duty owed to the Buyer in connection herewith shall be further limited in the aggregate to the price of the goods in question. Nothing in these terms shall restrict the Seller's liability for death or personal injury caused by the Seller's negligence.

Offers/ Promotions/ Clearance terms

All customized, promotional and clearance orders cannot be canceled, replaced, or refunded.

Offers/ Promotions/ Clearance:

  • Any offers or promotions announced shall be subject to change without notice.
  • Items sold on offer/promotion cannot be returned or replaced. The customer is responsible for all costs associated with the customization, including labor and materials.
  • No warranty will be applicable to the goods purchased on promotion.
  • The customer must approve all changes and modifications before they are implemented.
  • The provider is responsible for providing technical support for the customization
  • The provider is not responsible for any damage caused to the customer
  • The provider is not responsible for any additional costs incurred by the customer due to the customization.
  • The provider reserves the right to refuse any customization request that is not in line with their scope of services or policies.
  • Promotional offers are subject to change without notice
  • All promotional offers are subject to availability and may be withdrawn without notice.
  • Promotional offers are not redeemable for cash or credit.

Returns

  • Goods supplied in accordance with the Buyer's orders cannot be accepted for return without the Seller's written consent. If such consent is given, an administration charge will be made.
  • Returned goods must be sent carriage free and at the Buyer’s risk and will only be accepted if packed in the original carton/packing which in the seller’s opinion is in a saleable condition. Only goods belonging to the current design will be accepted for return.
  • If the seller without the reason does not want to accept the return, the buyer can not hold the seller accountable for not accepting the return.

Replacements

Replacements are only applicable when the claimed items are brought back to our showroom. The replacement request will be granted only if the technical evaluation is found irreparable and it is a pure manufacturing fault. Replacement of a product depends on the availability of the item. If the item is not in stock, it will be replaced only after the receipt of the next shipment. No cash refund is possible, but any other alternative product for the same value can be bought. Any claims/replacements will be honored only after the technical evaluation is done, which will take a minimum of 5-7 working days.

Misclaims

Any discrepancy in the document must be communicated in writing within 7 days of the document date. By signing this document, the customer accepts LUMIBRIGHT’s terms and conditions of sale and confirms the receipt of all the materials mentioned above in good condition and complete quantity and has no further claims whatsoever.
